Terms & Conditions

These terms govern how Vellumind works with you — including what we each commit to, how engagements are managed, and what the boundaries of our advisory work are. We have written them to be readable and fair.

1. Definitions

Throughout these Terms, the following words carry the meanings set out below:

  • "Vellumind" — Vellumind Sdn. Bhd., a company registered in Malaysia, operating from Level 4, Menara Ken TTDI, 37 Jalan Burhanuddin Helmi, 60000 Kuala Lumpur.
  • "Client" or "you" — the individual or organisation engaging Vellumind for advisory services.
  • "Services" — the advisory, review, and planning engagements offered by Vellumind, as described on this website and confirmed in writing.
  • "Deliverables" — any documents, notes, frameworks, plans, or outlines produced by Vellumind during an engagement.
  • "Agreement" — these Terms and Conditions, together with any written engagement confirmation or proposal accepted by both parties.
  • "Website" — the Vellumind website accessible at vellumind.cyou.

2. Acceptance of Terms

By using this website, submitting an inquiry, or entering into a service engagement with Vellumind, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

You must be at least 18 years of age and have the legal authority to enter into this Agreement on behalf of yourself or your organisation. If you are entering this Agreement on behalf of a company, you represent that you have the authority to do so.

If you do not agree with any part of these Terms, please do not proceed with an engagement.

3. Services Overview

Vellumind provides non-regulated, operational advisory services in the area of voluntary sustainability and responsible business practices. Our current service offerings are:

RM 650

Everyday Sustainability Review

A single working session with a written suggestions note covering observable areas such as energy use, materials, and supplier choices.

RM 2,750

Responsible Operations Engagement

A multi-week engagement covering practices review, voluntary improvement plan, and a tracking sheet for the client's own use.

RM 4,500

Stewardship Programme

A broader advisory engagement including workshops, a tailored operations plan, and a voluntary reporting outline for internal learning.

Services are available to clients based in Malaysia. Scope, timeline, and specific inclusions will be confirmed in writing before work begins.

4. Client Responsibilities

To make our work together effective, we ask that you:

  • Provide accurate and relevant information about your operations in a timely manner
  • Make the appropriate personnel available for scheduled working sessions
  • Review and respond to draft deliverables within agreed timeframes
  • Use deliverables only for internal, voluntary purposes as intended
  • Settle invoices by the agreed due date
  • Not use the website or our communications for any unlawful purpose

Delays caused by a client's unavailability or failure to provide necessary information may affect delivery timelines. In such cases, Vellumind will notify you and adjust the schedule in good faith.

5. Intellectual Property

All content on the Vellumind website — including text, design, structure, and graphics — is owned by or licensed to Vellumind. You may not reproduce, repurpose, or distribute website content without written permission.

Upon full payment for an engagement, Vellumind grants you a limited, non-exclusive, non-transferable licence to use the deliverables produced for that engagement internally within your organisation.

Underlying methodologies, frameworks, and templates developed by Vellumind remain the intellectual property of Vellumind. The licence granted covers the specific deliverables, not the methods behind them.

6. Payment Terms

All fees are quoted and invoiced in Malaysian Ringgit (MYR). Specific payment arrangements are confirmed in writing at the start of each engagement, and typically follow this structure:

Everyday Review

Full payment on confirmation of the working session date.

Responsible Operations

50% on engagement start; 50% on delivery of the final plan.

Stewardship Programme

33% on start; 33% at mid-point; 34% on final delivery.

  • Invoices are payable within 14 calendar days of issue unless agreed otherwise in writing.
  • Payment may be made by bank transfer to the account details on the invoice.
  • Where a client cancels a confirmed engagement with less than 5 working days' notice, the initial payment instalment may not be refundable depending on work already undertaken.
  • All fees are exclusive of applicable taxes (e.g., Sales and Services Tax) unless stated otherwise.

7. Service Delivery

Vellumind will carry out advisory work with reasonable care, skill, and diligence. Deliverables will be produced to a professional standard appropriate to the scope agreed.

Timelines are estimates based on normal project flow. Actual completion may vary depending on client availability, complexity of information, and reasonable revisions. We will communicate clearly if a timeline is likely to shift.

Scope changes requested after work has commenced may affect the timeline and fee. Any material changes to scope will be discussed and confirmed in writing before additional work proceeds.

8. Disclaimers

Vellumind's advisory services address voluntary, non-regulated sustainability and operational practices. We do not provide legal, financial, accounting, environmental compliance, or regulated professional advice of any kind. Clients should seek qualified professionals for those matters.

Our work is based on information you provide and observable practices. The quality of outcomes depends in part on the accuracy and completeness of that information. Vellumind does not make any representation that implementing our suggestions will produce specific measurable outcomes.

Our website and services are provided on a reasonable-efforts basis. We do not represent that the website will always be available, free from errors, or suited to every purpose.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Vellumind's total liability to a client for any claim arising from an engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.

Vellumind shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of profit, loss of revenue, or reputational damage, whether or not such losses were foreseeable at the time of the engagement.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any matter that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vellumind and its personnel from any claims, losses, or damages (including reasonable legal fees) arising from your misuse of our services, your breach of these Terms, or your provision of materially inaccurate information during an engagement.

11. Termination

Either party may end an engagement by providing written notice. Where Vellumind has already delivered a portion of the work, fees for that portion are due and payable.

Vellumind may suspend or end an engagement immediately if a client engages in conduct that is unlawful, abusive, or materially in breach of these Terms, or if invoices remain unpaid beyond 30 days without agreed arrangement.

Provisions of these Terms relating to intellectual property, liability, and dispute resolution survive the end of any engagement.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. The courts of Malaysia shall have non-exclusive jurisdiction to settle any disputes arising from these Terms or an engagement.

Before initiating any formal process, both parties agree to attempt to resolve disputes in good faith through direct discussion. Please contact us at [email protected] with a written description of the concern.

If direct resolution is not reached within 30 days, either party may refer the matter to mediation under the Malaysian Mediation Act 2012, or to the courts as appropriate.

13. General Provisions

  • Entire Agreement: These Terms, together with any written engagement confirmation, constitute the full agreement between the parties and supersede prior understandings on the same subject.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
  • Waiver: Vellumind's failure to enforce a provision on one occasion is not a waiver of the right to enforce it in future.
  • Assignment: You may not assign your rights under an engagement without Vellumind's prior written consent.
  • Notices: Formal notices under these Terms should be sent by email to the contact addresses used in the engagement, with written confirmation requested.

14. Changes to Terms

We may revise these Terms from time to time. The updated version will be published on this page with a revised "Last Updated" date. For active engagements, material changes will be communicated directly.

Continued use of our website or services after a change is posted constitutes acceptance of the revised Terms. If you have questions about any change, please write to us.
